Terms and Conditions
The terms and conditions of these Terms of Service (“Terms of Service”) (as amended from time to time) govern your use of the Application (as defined below), the Website (as defined below) and any Services (as defined below) provided by ManyRoads Limited (the “Company”, “we” or “ManyRoads”) to you (“you” or “user”). These Terms of Service should be read together with all other terms and conditions referred to in the Agreement (as defined below) entered into between you and the Company.
These Terms of Service and the Privacy Policy are deemed incorporated into, made a part of, and should be read in conjunction with the other terms and conditions referred to in, the Agreement (collectively, the Agreement) of which are legally binding between you and the Company, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. If and to the extent that these Terms of Service conflict with the terms and conditions referred to in the Agreement, the other terms and conditions referred to in the Agreement shall prevail.
By using the Application, the Website and/or the Services, you are indicating that you have read, and that you understand and agree to be bound by, the Agreement (including these Terms of Service and the Privacy Policy). If you disagree with the terms and conditions in the Agreement (including these Terms of Service and the Privacy Policy), you must cease using the Application, the Website and all Services.

Definitions
“Agreement” means these Terms of Service, the Privacy Policy and any other additional agreements and related documents required from the Individual in case the Company provides the Services to the Individual.
“Account” means the user’s registered account at the Company.
“Application”, singular or plural, means any of the Company’s html-based computer programs, smart phone, tablet or personal computer applications and all other software programs owned and operated by the Company that is/are made available to you by the Company, but does not include any application owned or operated by a third party that may be accessed through the Application and/or the Website.
“content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a device or computer that appears on or forms part of the Application and/or the Website.
“Creator” means a user who develops Journeys on the Application and/or Website. Creators who meet the eligibility requirements may participate in monetization and revenue sharing programs.
“Digital Assets” means digital tokens, badges, or souvenirs earned during Journeys.
“Journey” means curated routes with thematic checkpoints (e.g. historical/cultural narratives) featured on the Application and/or Website.
“Payment Information” means any details required for the purchase of Services from the Application and/or the Website. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes.
“Services” means the services made available to you by the Company through the Application, the Website and/or any other forms of communication made outside the Application or the Website, including the provision of a platform for curated, location-based storytelling journeys.
“User-Generated Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a device or computer that appears on or forms part of the Application and/or the Website that is generated and published by a [user/Creator].
“Website” means www.manyroads.com or such website of the Company to provide the Services.
Description of Services
ManyRoads allows users to register an Account to create, discover, and explore curated Journeys. By developing and sharing Journeys, users may be eligible to participate in revenue-sharing programs, subject to the Agreement and eligibility criteria.
Creators shall submit their Journeys for review (the “Submission”), including all required details as specified on the Application and/or the Website. ManyRoads, in its sole discretion, will evaluate each Submission and determine whether to publish it as a Journey on the Application and/or the Website. ManyRoads will notify the Creator via the provided contact details on the Creator’s Account within [a reasonable timeframe], confirming whether the Submission has been approved (resulting in a Journey) or rejected.
Approved Creators may earn revenue based on engagement, usage, or other performance metrics, as outlined below.
Age Restrictions
You acknowledge and understand that persons under the age of 16 shall use the Application and/or the Website only with the supervision of an adult. Payment Information must be provided by or with the permission of an adult.
By using the Application, the Website and/or the Services, you represent and warrant that:
if you are under 16 years of age, you will only access and use the Application, the Website and/or the Services under the supervision and approval of a parent or legal guardian;
if you are between 16 and 18 years of age, you will use the Application, the Website and/or the Services independently but are not eligible to participate in revenue-sharing programs as a Creator; and
to be eligible for revenue sharing as a Creator, you are at least 18 years old and comply with all other platform requirements.
Access to and use of the Application and the Website by individuals under 16 without parental consent is strictly prohibited.
License
Subject to your compliance with the Agreement including Section [3.2 of these Terms of Service, ManyRoads (the “Licensor”) grants you (the “Licensee”) a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
install, access, and use the ManyRoads platform (including, but not limited to, the Application, the Website, and content creation tools) solely for your personal, non-commercial purposes;
view, download, and interact with user-generated Journeys, checkpoints, and Digital Assets (e.g. badges, tokens) as permitted by the functionality of the Services; and
if approved as a Creator, publish original Journeys and monetize them in accordance with Section 10 of these Terms of Service.
As a Licensee, you agree that you shall not:
resell, lease, rent, or commercially exploit the Application, the Website, the Services, Journeys, or Digital Assets without express written permission from ManyRoads;
reverse-engineer, decompile, or create derivative works of the ManyRoads platform (including, but not limited to, the Application, the Website, and content creation tools) or its source code;
extract, scrape, or harvest data (e.g. user profiles and Journeys) via automated means (e.g. bots and scripts);
bypass security features, geofencing, or payment systems; and
use the Application, the Website and/or the Services to distribute content that violates third-party rights (e.g.. copyrights, trademarks) or laws and regulations.
Intellectual Property
- Our Intellectual Property
All rights (including, without limitation, all intellectual property rights), title to, ownership of, and interest in relation to, the Application, the Website and any other applications and/or websites, APIs, and backend systems provided to you by the Company, including (but not limited to):
the content, design, works of authorship, data, reports and/or any other subject matter or materials of the Application and the Website or in connection with the Application and Website, in whatever form or medium;
all software, code, algorithms, databases, and infrastructure used to operate the Services; and
the Company’s trademarks, logos, branding, and proprietary content (e.g., instructional materials, default Journey templates), shall be and shall remain ManyRoads’ exclusive property
The Company also exclusively owns all anonymized, aggregated data derived from user activity (e.g. popular routes, usage trends) (collectively, “Intellectual Property”).
- You confirm that you acknowledge and agree to the following:
you are not permitted to copy, share or distribute the content of the Application and the Website or any part of the Application and the Website to any third party;
you are not permitted to reverse engineer, decompile, disassemble or modify the Application and the Website or any of their content;
the Application and the Website and their content constitute proprietary information and intellectual property of ManyRoads and is protected by copyright – ManyRoads shall be the sole owner of the Application and the Website and their content. If you shall do or perform any acts which ManyRoads believes constitutes a copyright infringement of the Application and the Website and their content, or constitute a plagiarism, or violate or infringe any right of ManyRoads or if you shall do or perform any acts which ManyRoads believes constitutes an unauthorized or unlawful distribution, exhibition, or use thereof, then and in any such event, ManyRoads may and shall have the exclusive right to take such steps and institute such suits or proceedings as ManyRoads may deem advisable or necessary to prevent such acts and conduct and to secure damages and other relief by reason thereof, and to generally take steps as may be advisable, necessary or proper for the full protection of the rights of ManyRoads; and
you shall not claim any right title or interest in the Intellectual Property or any party of it, save as is granted by this Agreement.
User-Generated Content
You acknowledge that Creators (including yourself if you are approved as a Creator) retain copyright and intellectual property rights to their original:
Journeys including custom routes, descriptions, and thematic checkpoints;
media including photos, videos, and audio recordings uploaded to Journeys; and
text including reviews, comments, and narrative content.
By publishing User-Generated Content, you hereby grant the Company a worldwide, royalty-free, sublicensable, perpetual license to:
host, reproduce, distribute and use your content on the ManyRoads platform (including, but not limited to, the Application and the Website) for marketing and other purposes at the discretion of the Company;
modify or translate content for accessibility (e.g. language localization); and
use your User-Generated Content in marketing materials (with attribution to your username and/or location).
You warrant that your User-Generated Content:
does not infringe third party copyrights, trademarks, or privacy rights (e.g. unauthorized use of branded logos); and
includes proper attribution for third-party material.
Digital Assets
You acknowledge and agree to the following:
Digital Assets (e.g., badges, tokens) are licensed, not owned, by users and that you may not resell, trade, or monetize Digital Assets outside the Application and the Website; and
Digital Assets are forfeited upon closure of your Account and termination of the Agreement or violations of the terms of the Agreement.
Trademarks & Branding
The "ManyRoads" name, logo, and related marks are trademarks of ManyRoads Limited. You confirm that you will not use the Company trademarks without prior written permission (e.g. in promotional materials).
Sublicensing to Partners
You acknowledge and agree that ManyRoads retains the right to sublicense your User-Generated Content to authorized partners such as tourism boards, government agencies, or cultural organizations for promotional use (e.g. featuring Journeys in destination marketing campaigns), or third-party platforms integrating ManyRoads content (e.g. travel apps displaying curated Journeys).
Sublicenses are royalty-free and limited to the same purposes ManyRoads itself is permitted to use your content under Section 5. The Company shall procure that partners comply with ManyRoads' branding guidelines and attribution requirements (e.g. displaying your username).
Where you wish to opt-out, you may disable sublicensing for specific Journeys by emailing guide@manyroads.com, except where your content is already incorporated into active marketing campaigns, or legally binding partnership agreements.
User Registration and Account Management
- Free Membership Registration
The Company offers free registration for users (“Members”). To become a Member, you must create an Account by providing a valid email address and creating a secure password through the designated registration portal. You are solely responsible for safeguarding your login credentials, controlling access to your registered devices, and all activities conducted under your Account.
During your use of the Services, you may submit personal details (“User Information”) to enhance your experience.
You may access the Services by logging in through external platforms such as Facebook, Google, or Apple (“Third-Party Platforms”). By linking these platforms:
you authorize the sharing of relevant User Information between the Third-Party Platform and the Services to personalize features, Such data will be handled by us as outlined in the Privacy Policy but Third-Party Platforms operate under their own privacy and data practices; and
we assume no liability for how these Third-Party Platforms collect, use, or disclose your data and any unauthorized data sharing by Third-Party Platforms in violation of their policies.
You warrant that all User Information provided, whether directly or via Third-Party Platforms, is accurate and agree to update it promptly.
- Premium Subscription Membership
In addition to the Free Membership, the Company offers an optional paid subscription (“Premium Membership”) that provides access to enhanced features, exclusive content, and additional services (“Premium Content”) as detailed on the Service. The terms of the Premium Membership are set forth below.
- Premium Membership Terms
Subscription and Billing. By opting for a Premium Membership, you agree to pay all applicable subscription fees (“Subscription Fees”) at the rate and billing frequency presented to you at the time of purchase. Subscription Fees are non-refundable for partial billing periods except as required by law or as expressly stated in the Agreement.
Automatic Renewal. All subscription services shall automatically renew for successive periods equal to the initial term with Subscription Fees automatically charged to the selected method of payment, unless the user cancels at least twenty-four (24) hours prior to the renewal date.
Cancellation. You may cancel your Premium Membership at any time through your Account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Premium Content until that date. Following cancellation, your membership will revert to a Free Membership.
Changes to Subscription Fees or Terms. We reserve the right to change the Subscription Fees or modify the terms of the Premium Membership at any time. We will provide you with 30 days’ prior written notice of any such changes, and your continued use of the Premium Membership after the changes take effect constitutes your acceptance of the new pricing and terms.
Processing Payment. All payments of Subscription Fees for the Services are handled by an authorized third-party payment processing service ("Payment Processor"). You are responsible for providing complete and accurate Payment Information and authorize us to transmit this data to the Payment Processor and charge your selected payment method for all applicable fees. All sensitive financial data is encrypted and stored directly by the Payment Processor in accordance with its security standards and terms of service ("Payment Processor Agreement"). We do not retain your full Payment Information on our servers and are not liable for the security of your payment information. Your ability to subscribe and use the Services is contingent upon your adherence to the Payment Processor's terms, and we reserve the right to modify or replace our payment services at any time, with notice.
Creators Monetization & Payments
- Definitions
- “Gross Revenue” means all amounts received by ManyRoads from users for access to Premium Content, excluding taxes, payment processing fees, and platform operating costs.
- “Net Revenue” means Gross Revenue minus: (i) payment processor fees; (ii) applicable sales/VAT taxes; and (iii) a 30% platform service fee.
- “Payout Threshold” means the minimum balance of US$50 that must accrue before Creator earnings are remitted.
- Creator Compensation
Revenue Share:
Creators shall receive 10% of Net Revenue generated by their Journeys subject to the Payout Threshold and the engagement as stipulated in the Revenue Sharing Agreement;
Payment Terms:
payouts shall be processed monthly via Stripe or PayPal once the Payout Threshold is met; and
all payments are contingent upon the Creator providing complete and accurate tax documentation (Form W-9 for U.S. persons or W-8BEN for non-U.S. persons).
Fraud Prevention
ManyRoads may withhold payments and suspend Accounts pending investigation if:
there is reasonable suspicion of fraudulent activity (including, but not limited to, chargebacks, false engagement metrics, or identity misrepresentation); or
the Creator's content violates the terms in the Agreement.
Users found to have engaged in fraudulent activity shall be liable for all costs associated with investigation and resolution, including legal fees.
- Conduct of User
All users must comply with the terms of the Agreement (including these Terms of Service) when interacting on the Application and/or the Website or using the Services. By accessing or using the Application and/or the Website, you expressly represent and warrant to ManyRoads that your use of the Application and/or the Website shall comply with all applicable laws and regulations and will not violate the terms of the Agreement (including these Terms of Service). You agree not to use the Application and/or the Website for any unlawful purpose or in any manner that would constitute a breach of the Agreement.
You agree that your conduct must not restrict or inhibit others from enjoying the Application, the Website or the Services, and you agree that you will not harass other users. This includes any behaviour that disrupts the experience of other users including trespassing during Journeys.
The Website and Services may not be used for religious, political or non-commercial solicitation. This includes attempts to recruit users to other platforms, whether directly or indirectly competitive with ManyRoads.
ManyRoads reserves the right to remove any violating content and take appropriate action, including suspending or terminating accounts, at our sole discretion. Repeated violations may result in permanent bans from the platform.
Notices and Communications
Any notices or other communications permitted or required hereunder, including those regarding modifications to the Agreement (including these Terms of Service) and notices related to your Account, will be in writing and given via email using the email address associated with your Account. The date of receipt will be deemed the date on which such notice is transmitted.
- Limitation of Liability
You acknowledge that in no case shall ManyRoads, its affiliates and their respective directors, officers, employees, representatives or agents (“Related Persons”) be liable for any injury, loss claim or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, or any similar damages, arising from, or in connection to, your use of the Application, the Website and/or the Services, unless such loss arises from fraud, willful misconduct or gross negligence by ManyRoads or its Related Persons.
You acknowledge and understand that activities associated with the Services (including Journeys) can involve risk of injury, death, or property damage, and to the fullest extent permitted by applicable law, ManyRoads and its Related Persons cannot and does not assume responsibility for any such personal injury, death, or property damage resulting from your use of the Servicers (including Journeys) or your reliance on any information contained on the Application and/or the Website, which is strictly at your own risk.
Limitation of Liability on System and Transmission over the Internet
You recognise that the Internet is inherently insecure, and that data can become corrupted or lost, communications are not always delivered promptly (or at all), and that other methods of communication may be appropriate. You also acknowledge that electronic systems and transmissions are also prone to contamination by viruses and that you will be responsible for protecting your own IT and computer systems and equipment (whether hardware or software). To the fullest extent permitted by law, ManyRoads and its Related Persons will not be liable, or be responsible, to you or any other person(s) (on the basis of contract tort or otherwise) for any direct, indirect and/or consequential loss, damage, omissions or expenses in any way arising from any of the following through accessing or using the Application and/or the Website (save where such loss or damage is caused by fraud, willful misconduct or gross negligence by ManyRoads or its Related Persons):
any failure, malfunction and/or unavailability of the Application and/or the Website;
any direct, indirect and/or consequential loss or damage caused by your use of the Application and/or the Website or reliance by you on any content on the Application and/or the Website;
any computer or system virus interference(s) including, but not limited to, "Trojan Horses" and other harmful components affecting the Application and/or the Website (or any server that operates it) that may interfere with your own or any person’s internal systems; and
any interception of data or communications in connection with the public nature of the Internet.
You represent and warrant that you have taken reasonable precautionary measures to ensure, and to the best of your knowledge, that the device you use to access and use the Application and/or the Website does not contain any computer or system virus and/or other harmful components that may or will affect, destroy, modify, alter, or cause the destruction, modification or alteration of any part of the Application and/or the Website (or any server that operates it) and/or interfere with any part of Company’s internal systems.
- The Company does not accept responsibility for any interference or damage to your own computer system, the records stored thereon or those of any other person, which arises in connection with your use of the Application and/or the Website or any linked website or applications. A cookie is utilized on the Website. It allows your browser to check whether you have read and agreed to this disclaimer. The cookie does not contain any personally identifiable information. Unfortunately, if your browser is set up to reject cookies you will not be able to see the content of the Website.
Indemnification
- You undertake to reimburse and indemnify the Company and its Related Persons for, and hold each of them harmless against, all claims, demands, actions, proceedings, loss and damage, costs and expenses (including legal costs) incurred by any of them arising out of or in connection with, but not limited to:
- your use of and access to the Application and/or the Website;
- any breach by you of any term, representations or warranties under the Agreement (including these Terms of Service);
- your violation of any third-party right, including but not limited to any intellectual property or privacy right;
- any damages claimed against you by a third party; and
- legal costs resulting from any infringement (or claim of infringement) by you brought against you by ManyRoads,
- provided that nothing herein contained shall constitute a waiver or limitation of any rights which you may have under applicable laws.
ManyRoads’s remedies at law for a breach or threatened breach of any of the provisions hereof may be inadequate. In recognition of this fact, in the event of such a breach or threatened breach, in addition to any remedies at law, ManyRoads shall be entitled to obtain equitable relief in the form of specific performance, temporary restraining order, temporary or permanent injunction or any other equitable remedy which may then be available.
You are solely responsible for all interactions with other users of the Application and/or the Website. To the fullest extent permitted by law, you hereby release ManyRoads and its Related Persons from any claims, damages, or liabilities arising from the conduct or communications of other users, whether occurring online or offline.
Disclaimers
THE APPLICATION, THE WEBSITE AND THE SERVICES ARE NOT INTENDED FOR PERSONS OR ENTITIES RESIDENT OR LOCATED IN JURISDICTIONS OR COUNTRIES WHICH RESTRICT THE DISTRIBUTION OF INFORMATION ON THE APPLICATION, THE WEBSITE OR USE OF THE SERVICES. BY ACCESSING THE APPLICATION AND THE WEBSITE YOU REPRESENT AND WARRANT THAT YOU ARE NOT OTHERWISE RESTRICTED FROM ACCESSING THE INFORMATION ON THE APPLICATION AND THE WEBSITE. THE INFORMATION ON THE APPLICATION AND THE WEBSITE HAS NOT BEEN REVIEWED OR APPROVED BY ANY REGULATORY AUTHORITY IN ANY JURISDICTION. USERS ACCESSING THE APPLICATION AND/OR THE WEBSITE, AND OR UTILIZING THE SERVICES, FROM OTHER JURISDICTIONS DO SO AT THEIR OWN INITIATIVE AND ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAWS AND REGULATIONS.
The information and materials contained on the Application and the Website are solely for informational and discussion purposes only.
While the Company takes care to ensure that the information and materials on the Application and the Website are accurate and up to date at the time of publishing, the information and materials on the Application and the Website are provided “as is” without any warranty of any kind. The information contained on the Application and the Website has not been independently verified. No representation or warranty express or implied is made as to, and no reliance should be placed on, the fairness, accuracy completeness or correctness of such information or opinions contained on the Application and the Website. Information contained herein may be changed or amended without prior notice and the Company is not responsible for any errors or omissions relating to information provided by any third party. To the fullest extent permitted by law, the Company disclaims all express and implied warranties, including but not limited to warranties of merchantability, fitness for particular purpose, accuracy, non-infringement, availability, security, or reliability.
- Disclaimer for User-Generated Content
No User-Generated Content is published by ManyRoads; all User-Generated Content published on the Application and/or the Website is user-generated by Creators verified and approved by the Company who are subject to the “Content Creator Rules” as specified below – [the Company does not select, monitor, endorse, approve, verify, amend, review, evaluate or otherwise oversee any User-Generated Content published by any of [users/Creators] on the Application and/or the Website] and therefore the Company is not responsible for the accuracy of any User-Generated Content published on the Application and/or the Website. The Company may (but is not obligated to) review and delete any User-Generated Content published on the Application and/or the Website. You understand, acknowledge and agree that by accessing the Application and/or the Website, you may be exposed to material that you deem to be offensive, indecent, obscene or otherwise objectionable.
- Content Creator Rules
- As a Creator, if you chose to participate by publishing content on the Application and/or the Website, you understand, acknowledge and agree that your participation is at your own risk and the Company expressly disclaims responsibility for any content you publish herein. In addition to Section 5.3, you represent and warrant that you will be subject to the rules provided under this section.
- All User-Generated Content published by you containing historical and/or cultural claims are accurate and non-defamatory;
- You shall not publish any content on the Application and/or the Website that (i) violates any applicable laws, regulations or rules, (ii) causes or may cause any risk or damage to the Company, other users, the Application or the Website, including (but not limited to) any content that constitutes/causes any of the following:
racial hatred, racial discrimination and/or undermining racial unity;
spreading rumours, disrupting social order and/or undermining social stability;
promoting obscenity, pornography, paedophilia, money laundering, terrorist financing, gambling, violence, homicide, terror or instigate crime;
causing the defamation of others, revealing the personal information of others, infringing on the legitimate rights and interests of others;
inciting illegal assemblies, associations, demonstrations, strikes, riots, gatherings to disrupt social order;
taking the initiative to invite or ask for another user’s account details and password and/or to operate the account for another user;
taking the initiative to ask for another user’s personal details including contact details;
accepting the responsibility to operate another user’s account for and on that user’s behalf;
publishing any content that includes false information, including but not limited to, publishing fake Journeys and products and making false historical and/or cultural claims;
malicious confrontational behaviour that evades community norms;
publishing potentially harmful or dangerous content, or linking third-party websites that contains any computer or system virus and/or other harmful components that may or will affect, destroy, modify, alter, or cause the destruction, modification or alteration of any part of a user’s computer/systems, the Application and/or the Website (or any server that operates any of the above) and/or interfere with any part of the Company’s internal systems;
infringing any patent, trademark, copyright or other proprietary rights,
harming minors in any way;
deceiving or misleading users about the origin of the published content;
broadcasting copyrighted or unauthorized content;
inviting users to participate in any lectures, training or other activities;
imitation of other users, personnel of the Company or any other personnel from any other organisation, etc, including through your username;
spam of the same or similar content on the Application and/or the Website or to other users;
advertisements or promotions of any product;
humiliation, abuse, attack or disrespect of content published by other users including their opinions and views;
harassment, attacks, intimidation, threats, defamation or other content that has a serious or detrimental impact on users due to any reason including, but not limited to, the user’s identity or classification such as ethnicity, race, religion, sexual orientation, gender, disability or physical characteristics; and/or
disclosing personal data of other person or content that infringes on the legal rights of other person.
If you engage in any of the above acts/behaviours, you will be subject to any of the following penalties (as appropriate):
your User-Generated Content published associated with the above acts/behaviours will be blocked;
you will be temporarily or permanently blocked and/or banned from accessing and using the Application and/or the Website;
you will be reported to the relevant legal or regulatory authority(ies); and/or
any other penalties that the Company deems appropriate and reasonable in the circumstances.
- Monitoring
- ManyRoads may monitor content on the Application and the Website to ensure compliance with the Agreement (including these Terms of Service), our operating rules, and applicable laws and regulations. We are not obligated to do so, but reserve the right to remove any content at our sole discretion. This includes content that violates our policies or legal requirements.
- Our monitoring may be conducted to respond to valid government or regulatory requests. However, we undertake no responsibility to actively screen or edit User-Generated Content.
Termination
Access to certain areas of the Application and/or the Website may be restricted. ManyRoads reserves the right to restrict your access to other areas or the whole of the Application and/or the Website without notice at their absolute discretion including for technical and security reasons.
ManyRoads reserves the right to immediately suspend or terminate its relationship with you including the Agreement without advanced notice, where it believes in good faith that:
you have breached this Agreement;
you have breached any applicable laws and regulations;
termination is reasonably necessary to safeguard the rights of ManyRoads and/or other users of the Application, the Website and/or the Services;
you have conducted unlawful activities in the use of the Application, the Website and/or the Services; and/or
you are guilty of fraudulent payment transactions.
Users may delete their Account anytime by emailing guide@manyroads.com.
Upon termination, your right to access the Application, the Website and the Services ceases. Any Digital Assets or unused subscriptions are forfeited without refund but your User-Generated Content may be retained as per Section 5.
Prohibited / Improper Use
You are prohibited from using any data and/or materials from the Application and/or the Website for any improper or unlawful purpose or conduct any scraping, data mining or automated data collection. You are prohibited from using the Application and/or the Website in any manner that causes, or may cause, damage to the Application and/or the Website or impairment of the availability or accessibility of the Application and/or the Website, or in any manner which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
You agree to comply with all applicable laws and regulations and not to harass any individuals while using the Services. Furthermore, you agree not to trespass on or attempt to gain access to any private property where you do not have the right or permission to enter. You acknowledge that ManyRoads does not have, and expressly disclaims, any obligation to provide you with complete or accurate information regarding the location of private property or the legal status of any area, and you acknowledge and confirm that you are bear the sole responsibility for obtaining all necessary permissions to access private property and for ensuring your conduct is lawful and respectful to others in connection with your use of the Services.
You are responsible for conducting yourself respectfully in any location you visit using the Products. This obligation extends to minimizing noise pollution, avoiding disturbances, responsibly managing waste, considering the impact of group size, parking legally and considerately, and interacting courteously with others. Your conduct must be appropriate for the specific setting.
Your use of the Services must be lawful and conducted in good faith. You agree that you will not misrepresent your identity by impersonating another individual or entity, engage in conduct that is harassing, abusive, or otherwise offensive, or utilize the Services to facilitate any illegal, immoral, or damaging activities.
Third Party Content
ManyRoads may provide links to third-party websites for your convenience. These links are provided as a service only and do not constitute our endorsement of the content, products, services, or information on such external sites. We expressly disclaim any representations or warranties regarding the accuracy, completeness, legality, or reliability of any materials or information contained on third-party websites.
If you choose to access any linked third-party websites, you do so entirely at your own risk. ManyRoads shall not be liable for any loss or damage arising from your use of or reliance on information obtained through these external sites, including but not limited to financial loss, data breaches, or other harm resulting from such access.
You may not create hyperlinks to the Application and/or the Website from any other site without our prior written consent. ManyRoads reserves the right, in our sole discretion, to revoke consent for any link at any time and without notice.
Where Journeys incorporate or link to third-party booking services:
ManyRoads acts solely as a referrer and assumes no liability for the terms, quality, or fulfilment of such third-party services; and
any disputes regarding third-party services must be resolved directly with the third-party.
Amendments and Modification of Terms
ManyRoads may, at its sole discretion, modify, supplement, or replace these Terms of Service at any time. Such modifications may be made to: (a) reflect changes to our Services or business practices; (b) comply with applicable laws, regulations, or court rulings; or (c) address emerging security, technical, or operational needs.
For material changes (those that reduce user rights or impose new obligations), the Company will provide at least 30 days' prior notice via email to registered users and an in-app notification on the Application. For non-material changes (e.g. clarifications and minor updates), the revised Terms will be posted on the Application and the Website with an updated "Last Revised" date. You should review this section of the Application and/or the Website periodically for updates.
Continued use of ManyRoads after the effective date of revised Terms of Service constitutes binding acceptance. If you do not agree to the changes, you must cease all use of Application, the Website and the Services and elect to terminate your account by emailing guide@manyroads.com before the changes take effect.
These Terms of Service supersede any other previous versions of the Terms of Service published on the Application and the Website before the revision date stated.
General Provisions
Currency. All financial transactions shall be conducted in [U.S. Dollars (USD)]. Currency conversion fees, if any, shall be borne by the recipient.
Taxes. Each party is responsible for its own tax obligations arising under this Agreement. ManyRoads may withhold taxes as required by applicable law.
Severability. Each clause and sub-clause of the Agreement shall be independently interpreted and enforceable. If any clause or sub-clause of the Agreement is declared void, illegal or otherwise unenforceable by a court of competent jurisdiction, the remainder shall survive unaffected.
Personal Right. Your right to use the Application, the Website and the Services is personal to you and is not transferable to any other person or entity.
Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that or any other provision in the future. No waiver by ManyRoads of any right under these Terms will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time.
Relationship. You agree that Agreement and the use of the Services shall not operate to create a partnership, agency, employment relation or joint venture of any kind between you and ManyRoads.
Entire Agreement. The Agreement, together with any terms and conditions referred to in it, form the complete and exclusive agreement between you and ManyRoads governing your use of the Application, the Website and the Services, and supersedes and extinguishes any prior drafts, agreements, discussions, undertakings, representations, warranties and arrangements of any nature, whether in writing, oral or electronic, between you and ManyRoads relating to the Application, the Website and the Services.
Survival. Notwithstanding the termination or expiration of these Terms, clauses concerning Confidentiality, Intellectual Property, Indemnification, Limitation of Liability, and any other clauses which by their nature are intended to survive, shall remain in full force and effect.
Disputes
Should any dispute or claim arise out of or in connection with the Services or the Agreement, you and the Company will attempt to resolve the dispute or claim in good faith in the first instance by negotiation. If such negotiation is unsuccessful, you and the Company may agree to seek to resolve the dispute or claim by mediation. If it is not possible to resolve the dispute or claim by negotiation or mediation, then it may be dealt with by legal proceedings or arbitration as provided in Clause 23 below. Subject to Clause 24 below, in relation to any legal action or proceedings (“Proceedings”) arising out of or in connection with the Services (whether contractual or non-contractual obligations), each party irrevocably submits to the exclusive jurisdiction of the courts of Hong Kong and waives any objection to Proceedings in such courts on the grounds of venue or on the grounds that Proceedings have been brought in an inappropriate forum.
Arbitration and Courts
For non-EEA/UK Users, any dispute, controversy, difference or claim arising out of or relating to the Agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong and the number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
For EEA/UK Users: You may bring claims in the courts of your country of residence in compliance with EU Regulation 1215/2012. ManyRoads may bring enforcement actions in Hong Kong courts.
Governing Law
Any dispute or claim arising out of or in connection with the Agreement or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
The Contracts (Rights of Third Parties) Ordinance
Unless otherwise specifically provided and subject to Clause 25.2 below, the Agreement shall not create or give rise to, nor shall it be intended to create or give rise to, any third party rights. No third party shall have any right to enforce or rely on any provision of the Agreement which does or may confer any right or benefit on any third party, directly or indirectly, expressly or impliedly. The application of law (whether of Hong Kong or elsewhere and whether current or to be enacted or come into effect in the future, including without limitation, the Contracts (Rights of Third Parties) Ordinance (Chapter 623 of the Laws of Hong Kong)) giving to or conferring on third parties contractual or other rights in connection with the Agreement shall be excluded.
Clause 25.1 above shall not apply to rights, indemnities and exemptions (if any) applied to or conferred on the Company and any of its Related Persons pursuant to the relevant terms of the Agreement.
